IOWA CONFERENCE OF AAUP

ARTICLE I: NAME The name of this organization shall be the Iowa Conference, American Association of University Professors.
ARTICLE II: PURPOSE The purpose of this organization is to facilitate a more effective cooperation among teachers and research scholars in Iowa universities and colleges, and in professional schools of similar grade; to advance the standards, ideals and welfare of the profession; to provide for the dissemination of information of use to the profession; and to initiate, advance and coordinate action on the state level consistent with the aims of the national body of AAUP.
ARTICLE III: MEMBERSHIP Any active or emeritus member of National AAUP residing or employed in the State of Iowa becomes a member of the Iowa Conference on payment of Iowa Conference dues.
ARTICLE IV: OFFICERS The officers shall be the President, a Vice-President, a Secretary and a Treasurer. The term of office for each officer shall be two years and shall commence at the close of the meeting at which the officer is elected. Election of the President and the Treasurer will take place in odd numbered years and the election of the Vice-President and the Secretary will take place in even numbered years. No person shall be elected to the office of President for more than two successive terms. The officers shall be elected from among the members of the Iowa Conference by a majority vote at an annual meeting of the Conference. Voting will-be by secret ballot.
ARTICLE V: EXECUTIVE COMMITTEE AND RESPONSIBILITIES There shall be an Executive Committee composed of the elected officers of the Conference plus the immediate Past-President of the Conference, and no more than four additional elected members. They shall have the right to vote at all meetings of the conference. If an office becomes vacant, the Executive Committee shall appoint a member to serve until the next annual meeting.
The Executive Committee shall be empowered to conduct the business of the Conference between annual meetings, and shall have the authority to construe the provisions of the constitution, establish By-Laws subject to confirmation by two-thirds of the members attending the annual meeting, conduct the business of the Iowa Conference between annual meetings, and to designate standing committees, establish policy, advise the President, and to establish and control the budget.
ARTICLE VI: MEETINGS The Iowa Conference shall hold at least one meeting each year prior to the Annual Meeting of the National AAUP. Meetings shall be open to all AAUP members and invited guests.
ARTICLE VII: NOMINATING COMMITTEE The President shall appoint a Nominating Committee of three members no later than two months before the annual meeting. The Nominating Committee shall prepare and submit in writing a list of the candidates at least one month before the election. Nominations can also be made from the floor at the annual meeting.
ARTICLE VIII: AMENDMENTS Amendments to the Constitution may be proposed by the Executive Committee, by any Chapter, or by ten or more individual members. Notice of the proposed Amendments must be sent to all members of the Conference at least one month before any action may be taken. Amendments may be adopted by a three-fourths vote of all members of the Conference present and voting at a meeting.
ARTICLE IX: DUES Dues of members shall be set by the Conference.
ARTICLE X: PARLIAMENTARY AUTHORITY Except as provided in this Constitution or in rules adopted pursuant to it, the meetings of the Iowa Conference of AAUP shall be governed by Robert's Rules of Order Newly Revised.
